1. Scope of Application
1.1. These Terms and Conditions (hereinafter referred to as “Terms”) exclusively govern the business relationship between mosaic GmbH (hereinafter referred to as “Seller”) and the customer (hereinafter referred to as “Customer”) in the version valid at the time of the order.

1.2. A consumer within the meaning of these Terms is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business, or profession. An entrepreneur is a natural or legal person or a partnership with legal capacity who, at the time of concluding a legal transaction, acts in the exercise of their trade, business, or self-employed professional activity.

1.3. Deviating conditions of the Customer are not recognized unless the Seller explicitly agrees to their validity.

2. Offers and Service Descriptions
2.1. The presentation of products in the online shop does not constitute a legally binding offer but an invitation to submit an order. Descriptions of services in catalogs or on the Seller’s website do not have the character of a guarantee or assurance.

2.2. All offers are valid “while stocks last,” unless stated otherwise for specific products. Errors and omissions excepted.

3. Order Process and Contract Conclusion
3.1. Customers can select products from the Seller’s range without obligation and collect them in a virtual shopping cart by clicking the button labeled “Add to Cart.” The selection can be modified within the shopping cart, e.g., deleted. Customers can proceed to the checkout by clicking the button labeled “Proceed to Checkout.”

3.2. By clicking the button labeled “Place Order,” the Customer submits a binding offer to purchase the goods in the shopping cart. Before submitting the order, the Customer can view and modify their data at any time using the browser’s back function or cancel the ordering process entirely. Required fields are marked with an asterisk (*).

3.3. The Seller will then send the Customer an automatic acknowledgment of receipt via email, summarizing the order (order confirmation). The automatic acknowledgment of receipt merely documents that the Customer’s order has been received and does not constitute acceptance of the offer. The purchase contract is only concluded when the Seller dispatches the ordered product to the Customer within two days, transfers it to the Customer, or confirms the shipment to the Customer within two days with a second email, explicit order confirmation, or invoice. Acceptance may also occur through a payment request or the completion of the payment process. In cases of multiple acceptance steps, the earliest date of acceptance is decisive. If the Seller does not accept the Customer’s offer within the acceptance period, no contract is formed, and the Customer is no longer bound by their offer.

3.4. For Customers who are businesses, the aforementioned period for dispatch, transfer, or order confirmation is seven days instead of two.

3.5. If the Seller offers advance payment as a payment option, the contract is concluded upon providing the bank details and payment request. If the payment is not received by the Seller within ten calendar days after sending the order confirmation, despite a reminder, the Seller may withdraw from the contract, rendering the order null and void. In such cases, the Seller has no obligation to deliver, and the order is without further consequences for both parties. Reservation of items for advance payments is limited to ten calendar days.

4. Prices and Shipping Costs
4.1. All prices listed on the Seller’s website include the applicable statutory VAT.

4.2. In addition to the stated prices, the Seller charges shipping costs for delivery. The shipping costs are clearly communicated to the Customer on a separate information page and during the order process.

5. Delivery and Product Availability
5.1. If advance payment is agreed upon, delivery is made after receipt of the invoice amount.

5.2. If the delivery fails due to the Customer’s fault despite three attempts, the Seller may withdraw from the contract. Any payments made will be refunded promptly to the Customer.

5.3. If the ordered product is unavailable because the Seller was not supplied by their supplier without their fault, the Seller may withdraw from the contract. In such cases, the Seller will inform the Customer promptly and may suggest delivering a comparable product. If no comparable product is available or the Customer does not wish to receive one, the Seller will promptly refund any payments already made.

5.4. Customers are informed about delivery times and restrictions (e.g., delivery limitations to specific countries) on a separate information page or in the respective product description.

5.5. For Customers who are businesses, the risk of accidental loss and accidental deterioration of the goods passes to the buyer as soon as the Seller hands over the goods to the carrier, freight forwarder, or other person or institution designated to carry out the shipment. Delivery dates and deadlines are not fixed dates unless otherwise agreed.

5.6. Delivery delays due to force majeure or unforeseeable events that make delivery substantially more difficult or impossible for the Seller, even in the case of binding deadlines and dates, do not entitle the Customer to claim damages. In such cases, the Seller is entitled to postpone the delivery or service for the duration of the impediment plus a reasonable lead time. If the delay is unreasonable for the Customer, they may withdraw from the contract after consulting with the Seller.

8. Kundenkonto

8.2 Der Kunde verpflichtet sich, die Zugangsdaten zu seinem Kundenkonto vertraulich zu behandeln und insbesondere das Passwort nicht an Dritte weiterzugeben. Der Verkäufer übernimmt keine Haftung für Schäden, die durch unsachgemäße Verwendung der Zugangsdaten entstehen.

8.3 Der Kunde ist verpflichtet, seine gespeicherten Daten aktuell zu halten und etwaige Änderungen unverzüglich mitzuteilen.

9. Sachmängelgewährleistung und Garantie

9.1 Die Gewährleistung richtet sich nach den gesetzlichen Vorschriften.

9.2 Eine zusätzliche Garantie besteht bei den vom Verkäufer gelieferten Waren nur, wenn diese ausdrücklich in der Produktbeschreibung abgegeben wurde.

10. Haftung

10.1 Für eine Haftung des Verkäufers auf Schadensersatz gelten unbeschadet der sonstigen gesetzlichen Anspruchsvoraussetzungen folgende Haftungsausschlüsse und Haftungsbegrenzungen:

10.2 Der Verkäufer haftet unbeschränkt, soweit die Schadensursache auf einer vorsätzlichen oder grob fahrlässigen Pflichtverletzung beruht.

10.3 Ferner haftet der Verkäufer für die leicht fahrlässige Verletzung von wesentlichen Pflichten, deren Verletzung die Erreichung des Vertragszwecks gefährdet, oder für die Verletzung von Pflichten, deren Erfüllung die ordnungsgemäße Durchführung des Vertrages überhaupt erst ermöglicht und auf deren Einhaltung der Kunde regelmäßig vertraut. In diesem Fall haftet der Verkäufer jedoch nur für den vorhersehbaren, vertragstypischen Schaden.

10.4 Die vorstehenden Haftungsbeschränkungen gelten nicht bei Verletzung von Leben, Körper und Gesundheit, für einen Mangel nach Übernahme einer Garantie für die Beschaffenheit des Produkts und bei arglistig verschwiegenen Mängeln.

10.5 Soweit die Haftung des Verkäufers ausgeschlossen oder beschränkt ist, gilt dies auch für die persönliche Haftung von Arbeitnehmern, Vertretern und Erfüllungsgehilfen.

11. Speicherung des Vertragstextes

11.1 Der Verkäufer speichert den Vertragstext der Bestellung.

11.2 Der Kunde kann die Allgemeinen Geschäftsbedingungen jederzeit auf der Website des Verkäufers einsehen und speichern.

12. Schlussbestimmungen

12.1 Auf Verträge zwischen dem Verkäufer und den Kunden findet das Recht der Bundesrepublik Deutschland unter Ausschluss des UN-Kaufrechts Anwendung.

12.2 Sollten einzelne Bestimmungen dieser Allgemeinen Geschäftsbedingungen unwirksam sein, bleibt der Vertrag im Übrigen wirksam.

12.3 Für Kunden, die Kaufleute, juristische Personen des öffentlichen Rechts oder öffentlich-rechtliche Sondervermögen sind, ist der Gerichtsstand für alle Streitigkeiten aus Vertragsverhältnissen zwischen dem Kunden und dem Verkäufer der Sitz des Verkäufers.
